Investor Meridian BidCo LLC acquires majority stake in MariaDB plc

[German]Small addendum from July 25, 2024: It was announced that MariaDB plc has a new majority shareholder. This is a subsidiary of an investment firm. This company has acquired 88.7% of the shares in MariaDB plc and can now determine the fate of the database developer.

Blog reader Georg had already sent me the information on July 30 – but I'm only now getting around to taking up the topic. The terms and conditions can be found in this Wallstreet Online article. It states that Meridian BidCo LLC, a subsidiary of K1 Investment Management, LLC, has made an offer to acquire MariaDB plc shares.

Meridian BidCo LLC has made a bid to acquire all of the issued and to be issued ordinary shares of USD 0.01 each (par value) of the Company (the "MariaDB Shares"). The Bid was settled in accordance with its terms on July 25, 2024. Meridian BidCo LLC now owns 61,263,283 MariaDB Shares, representing 88.70% of the issued share capital of MariaDB as at July 22, 2024.

Meridian BidCo LLC now intends to apply the provisions of Sections 456 to 460 of the Irish Companies Act 2014 to compulsorily acquire any outstanding MariaDB shares not acquired or agreed to be acquired pursuant to the Offer on the same terms as the Offer. Compulsory takeover notices have already been served on shareholders, but they can still appeal to an Irish court.

Following the compulsory acquisition process, Bidco intends to delist the shares from the New York Stock Exchange and remove them from the market. How this will affect MariaDB remains to be seen. MariaDB plc is a company that offers the database of the same name as a product. MariaDB is used by many companies.
