A blog reader pointed me to the announcement Arctic Wolf and BlackBerry Announce Acquisition Agreement for Cylance dated December 16, 2024, where the details were given.

Security software and services providers, Arctic Wolf and BlackBerry Limited, announce that a definitive agreement has been reached for Arctic Wolf to acquire BlackBerry's Cylance® endpoint security assets.

Cylance is described in the agreement as the pioneer of AI-based endpoint protection, with the solution being used in thousands of organizations. With the acquisition, Arctic Wolf intends to integrate the corresponding Cylance functions into its own endpoint security solutions.

Under the terms of the agreement, BlackBerry will sell its Cylance assets to Arctic Wolf for $160 million in cash and will also receive approximately 5.5 million shares of Arctic Wolf common stock. After accounting for purchase price adjustments, BlackBerry will receive approximately $80 million in cash at closing and approximately $40 million in cash one year after closing.
