In a press release, the two companies announced that Proofpoint, a cybersecurity and compliance company, has signed an agreement to acquire the Hornetsecurity Gruppe. The acquisition will enable Proofpoint to provide people-centric security solutions to small and medium-sized enterprises (SMEs) worldwide, in partnership with managed service providers (MSPs). This enables companies to protect employees and secure their data.

With 365 Total Protection, Hornetsecurity offers a cloud security solution for Microsoft 365. This provides managed service providers (MSPs) with a multi-tenant platform for the provision of integrated services such as advanced email security, backup, security awareness, access and authorization control and protection against domain fraud.

By combining joint threat intelligence and AI models, both Proofpoint and Hornetsecurity customers and partners benefit from improved detection performance against cybercriminals.

Following completion of the transaction, Proofoint plans to leverage its global reach to make the power of the Hornetsecurity platform available to MSPs and their customers worldwide. The common goal is to achieve the protection of enterprise customers' people, data and operations. Hornetsecurity will act as the central provider for all MSP and SME customers within the group.

The acquisition is expected to be completed in the second half of 2025. This is subject to the approval of the antitrust authorities and customary closing conditions

The terms of the transaction, including the price of the takeover, are confidential. However, I found information on CNBC that the purchase price is likely to be over one billion (euros). Proofpoint is currently owned by the private equity company Thoma Bravo. The founders of Hornetsecurity are to remain on board after the transaction.
